Visa Inc. Acquires Visa Europe
On November 2, 2015 Visa Inc. and Visa Europe Ltd. announced a definitive agreement for Visa Inc. to acquire Visa Europe, creating a single global company. The transaction consists of upfront consideration of €16.5 billion with the potential for an additional earn-out of up to €4.7 billion payable following the fourth anniversary of closing, for a total value of up to €21.2 billion. The upfront consideration comprises €11.5 billion of cash and preferred stock convertible into Visa Inc. class A common stock valued at €5 billion.
As a result of the combination, European clients will have greater access to Visa Inc.’s scale and resources and global clients will have a more seamless experience. The transaction capitalizes on strong growth opportunities in a highly attractive region. It positions the combined Visa to create value through increased scale, efficiencies realized by the integration of both businesses, and benefits related to Visa Europe’s transition from an association to a for-profit enterprise.
Trial Pay Acquisition
On February 27, 2015, Visa Inc. announced an agreement to acquire TrialPay, a privately held company with an offers platform that connects merchants with millions of consumers through targeted promotions. No financial details were disclosed.
Fundamo Acquisition and Monitise Agreement
On June 9, 2011, Visa Inc. acquired Fundamo, a leading platform provider of mobile financial services for mobile network operators and financial institutions in developing economies, for approximately $110 million in cash.
Additionally, Visa Inc. signed a new commercial agreement with Monitise, a global leader in mobile money solutions, to expand delivery of mobile financial services to banked Visa account holders in conjunction with Visa's financial institution partners.
On March 1, 2011, Visa Inc. acquired PlaySpan Inc., a privately held company whose payments platform handles transactions for digital goods in online games, digital media and social networks around the world, for approximately $225 million in total purchase consideration.
On July 21, 2010, Visa Inc. acquired CyberSource Corporation at a price of $26.00 per share or total consideration of approximately $2.0 billion. CyberSource operates as a wholly-owned subsidiary of Visa Inc.
